Terms and Conditions of Services

Welcome to iClassDee,

Please read on to learn the rules and restrictions that govern your use of our mobile application called “iClassDee”and the associated products, services and features (the “Services”). iClassDee is one of our products and services. Your use of our other products and services and their associated websites, applications, and other materials are subject to other terms applicable to them. If you have any questions, comments, or concerns regarding these terms or the Services, please contact us at support@iClassDee.com

These Terms and Conditions of “iClassDee” application (hereinafter collectively referred to as “Application”) is made by and between iClassDee (doing business as iClassDee (“Company,” “iClassDee,” “we,” or “us”))) of one part, and users of the Application (“User”) of the other part. The User shall also include users who subscribed to the Application and those who did not subscribed to the Application. This Application provides many Services ((“Services”)) such as the services of looking up to information of education, training activity or tutor service; the services of posting reviews and uploading pictures to share to and be commented by other User; the services of Facebook and Line connection to share interesting information to friends, or third parties; purchasing value-added services etc. The Services provided in this Application are subject to these Terms and Conditions.

However, by accessing and using this Application, the User is deemed to have already read and fully understood the Terms and Conditions of iClassDee, as well as agreeing to comply with and be bound by these Terms and Conditions.

Please read these Terms carefully. They cover important information about Services provided to you. PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

1.Registration of Account

1.1 As a condition to using Service, you may be required to register with Company and select a password and username or provide additional contact information ("Company User ID"). Alternatively, (1) an Institution or School Personnel or (2) a parent, may create accounts and logins for students or their child (“Student Login(s)”). When you register or create a Student Login, you must provide Company with accurate, complete, and updated Company User ID and Student Login information. You may not select or use as a Company User ID or Student Login, a name of another person with the intent to impersonate that person. You will not provide any false information or create an account for anyone other than yourself without permission. iClassDee reserves the right to refuse registration or to cancel a iClassDee ID or Student Login in its discretion.

1.2 You shall be responsible for maintaining the confidentiality of your login credentials, iClassDee ID, Student Login, password or invitationcode (“Account Credentials”) and will not share with anyone or let anyone else access your Account Credentials or account. You may not transfer your Account Credentials or account to anyone without express prior written consent of Company. Company will not be liable for any direct or indirect loss that you may incur as a result of someone else using your Account Credentials, either with or without your knowledge or for a failure to comply with this Section. However, you may be held liable for losses incurred by iClassDee or another party due to someone else using your Account Credentials.

1.3 You expressly agree to (a) immediately notify iClassDee of any unauthorized use of your account or any other breach of security of your Account Credentials, account or a child's personal information, and (b) ensure that you properly logout from your account at the end of each session.

1.4 You represent, warrant and covenant that (1) all Account Credential information you submit is truthful and accurate, and (2) if you are setting up a Student Login that you have obtained any and all necessary rights, permissions, or consents to access, setup, monitor, use or disclose any data from such accounts of other Users.

2.Application’s Services Usage

The User agrees and accepts that the User’s usage of this Application shall be in accordance with the law and subject to the terms of this Terms and Conditions. In no event shall the User do the following:

i. violating or defaming the nation institution, religion institution, or royalty institution.

ii. transmitting or posting defamatory, vulgar, obscene, sneaky, vilify, coercive, fake, or threatening statement to other users or third parties.

iii. modifying, adapting, translating, or reversing the engineer section of the Application, or reproducing any part of the Application, whether by yourself or allowing third parties to do so.

iv. the User must not infringe any copyright, trademark or any other intellectual property of iClassDee or other users. In addition, the User must not attempt to collect data of other users, class information, location and maps or pictures that iClassDee and the members of the Application created, including pictures, background images and icons for any whatsoever purpose unless permitted in writing from iClassDee.

v. publishing any statement onto the Application that is expressed or implied to be sponsored or endorsed by iClassDee without prior written permission. reproducing, reprinting, modifying, downloading, uploading, posting a notice, disseminating, or making appear to the public of illegal or immoral works without prior written permission from iClassDee.

vi. infringing any intellectual property right of iClassDee or any third parties, including but not limited to copyright, patent, trademark, trade secret, or other intellectual property in any whatsoever means.

vii. deleting or amending the right management information, which is an information attached or shown in contents or any works in the Application to identify the author of the work, the work, or the copyright owner such as company’s name, author’s name, watermark, number or code, etc., as well as disseminating any contents or works whose right management information had been deleted or amended in the Application.

viii. downloading, uploading, posting a notice, or doing anything to illegally exploit contents or work from this Application without prior written permission from iClassDee and/or post or do anything to make texts appear that cause damage to iClassDee, members of iClassDee, internet users, and/or third parties.

ix. download, upload, post a notice, send an E-mail, or do anything that would interrupt or intervene the process of computer system by transmitting computer virus or computer program in any forms that are designed to obstruct, destroy, or limit the operation of computer system, computer hardware, or communication software of members of iClassDee, internet users, and/or third parties.

x. using computer software to obstruct, intervene, or disturb the operation or services of iClassDee or third parties’ computer or computer system such as the use of Trojan Horse, Time Bombs, etc. The User shall not intentionally attempt to heavily load to the Application that may be harmful to the service of the Application without reasonable cause.

xi. doing anything that would be a violation of the notification or policy of iClassDee as specified in these Terms and Conditions and/or any amendment as amended by iClassDee in the future.

In the event of any violation of these Terms and Conditions, iClassDee is entitled to immediately suspend its services to the User without any prior notice, and/or take legal action against the User as iClassDee deems proper.

3.Rights of iClassDee

Right to Input the data onto the Application

The User accepts that iClassDee has sole right and discretion to review, amend, and delete any business data (including name, address, telephone number, review, facsimile number, score, or picture) or reviews (including comments, or like/unlike score) or other information on the Application. iClassDee’s decision regarding information on the Application is final.

Right to Collect and Use of the User’s Personal Information

iClassDee will collect the User’s data such as name, address, E-mail, and date of birth when the User registers an account on the Application. The User may use information from Facebook or Line account to make the registration with the Application easier. In this regard, iClassDee will use the User’s name to create an account name, use the User’s address to identify which province the User lives, and use the User’s E-mail or telephone number to contact the User. By using the Application, the User hereby agrees to give his/her consent to iClassDee to collect and process the User’s personal information.

Right to Collect and Use the User’s Location Information

The Application will be able to provide even more useful information to the User if the User shares the User’s current location to the Application (such as using a mobile device with GPS system). iClassDee may collect and use the User’s location information to advertise to the User and to give the said information to third parties. If the User enables his/her GPS system, it shall be deemed that the User has given consent to iClassDee to collect and process the User’s current location information. However, the User may disable his/her GPS system or install any software to conceal this information.

Right to Collect and Use of Log and Activity Information

The User agrees, acknowledges and gives his/her consent that iClassDee will automatically collect the User’s information regarding the usage of the Application. For instance, the information regarding the page that the User viewed on the Application, date and time of usage, etc. In this regard, iClassDee will use such information to maintain and improve the Application’s services. In addition, iClassDee will also use the said information to analyze the User’s behavior to measure the interest in using functions of the Application.

Right to Disclosure of Information when Necessary

iClassDee reserves the right to verify and monitor any illegal or immoral activities on the Application, as well as any violation of iClassDee’s Terms and Conditions. iClassDee is entitled to disclose the User’s information to third party services providers if iClassDee believes in good faith that such disclosure is for the purpose of:

i. acting against suspected illegal activities.

ii. enforcing iClassDee’s Terms and Conditions.

iii. complying with legal procedure.

iv. protecting iClassDee’s and other users’ right, reputation and property; or any other reason as iClassDee deems proper.

4.Intellectual Property

4.1 The User acknowledges and agrees that any data, texts, pictures, sounds, logos, and/or any part of this Application, which including but not limited to copyright, trademark, service mark, trade name, database, trade secret, patent, know-how, business data, and etc., on the Application (except for any data or pictures which the User uploaded or disseminated through the Application by themselves) are protected work under the law of intellectual property and are the ownership, copyright, right and property of iClassDee, solely.

4.2 The User represents that the User is the copyright owner or the licensee of the data, pictures, sounds, logos or contents that the User uploaded or disseminated onto the Application, which including but not limited to copyright, trademark, service mark, trade name, database, trade secret, patent, know-how, business data, and etc., such as the comments, pictures, compliments to others, information pursuant to the public profile of the User, and the votes in other users’ article. The User shall be solely liable for any copyright infringement dispute arising from the usage or the dissemination of the aforesaid data, pictures, sounds, logos or contents.

4.3 In addition, the User acknowledges that by uploading or disseminating data, pictures, sounds, logos or contents through the Application, the User agrees to irrevocably license to iClassDee to use, reproduce, adapt, disseminate, license, or exploit, in whatever manners, the said data, pictures, sounds, logos or contents of the User throughout the protected period under the law. The User hereby waives and forfeits all his/her right to take any legal action or claim any damages from iClassDee for whatsoever reason.

4.4 The User also acknowledges that the consideration for the licensing that the User licensed iClassDee to use, reproduce, adapt, disseminate, license, or exploit the User’s data in the Application is in the form of publicizing of work through the Application. Therefore, the User agrees not to claim or request for any further compensation from the use, reproduce, adapt, disseminate, license, or exploit of work by iClassDee.

5.iClassDee Subscription

We provide numerous iClassDee Service options. Certain iClassDee Service options are provided free-of-charge, while other options require payment before they can be accessed (the "Paid Subscriptions").

iClassDee offers certain Users the ability to purchase iClassDee+/ iClassDee Gold Features through the Service. The categories and prices of our Paid Subscriptions are described in the application and are subject to change from time to time.

Free trial for Subscriptions

When you start your first subscription on iClassDee, it’ll start with a free trial, which lets you try the paid Services for free. After the free trial ends, your free trial will automatically become a paid subscription unless you cancel your free trial.

Prices and Tax changes

iClassDee may from time to time change the price for the Paid Subscriptions, including recurring subscription fees and will communicate any price changes to you in advance on reasonable notice. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, by continuing to use the iClassDee Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Paid Subscription prior to the price change going into effect.

Tax rates are based on the rates applicable at the time of your charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. Any change in Tax rate will be automatically applied based on the account information you provide

Paid & Billing

Paid Subscriptions are purchased from and billed by Apple Store or Google Play, not ClassDee. These purchases are subject to the terms and conditions of Apple Store or Google Play. All billing and refund inquiries must be directed to Apple Store or Google Play. iClassDee does not have access to Apple Store or Google Play accounts or transactions. If you wish to confirm the type of subscription that has been purchased from Apple Store or Google Play, please consult your Apple Store or Google Play account or receipt as each subscription will have a unique billing name.

Renewal and Cancellation

If you activate a Paid Subscription Service, you authorize iClassDee to periodically(monthly/annually) charge from your Google Play/ Apple Store account. These purchases are subject to the terms and conditions of Google Play/ Apple Store.

The subscription automatically renews unless it is canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate. Your Paid Subscription stays until your next billing date, then your account switches to free.

You can manage and cancel your subscriptions according to the guidelines of Apple Store or Google Play.

Payment Complaint

Any complaints relating to the Paid Subscriptions must be submitted to iClassDee in writing or by email to support@iClassDee.com within two weeks upon receipt. If no such complaint has been made within two weeks upon receipt, the billing is deemed to be accepted.

Actions We May Take

i. we may revoke your eligibility to purchase Premium Features at any time at our sole discretion.

ii. we may cancel any subscription if we believe it violates our Terms of Service, or if we believe doing so may prevent financial loss.

6.Limitation of Liability

6.1 iClassDee is not responsible for any damage arising from any activities of the User such as uploading, creating, or disseminating any Content on the Application. The User hereby waives and forfeits all his/her right to claim or request iClassDee to be liable for any of such damage.

6.2 iClassDee does not guarantee the accuracy of any information, whether they are posted by iClassDee or by the users. However, if iClassDee has been informed by related parties or any third parties that any information on the Application might cause direct or indirect damage to others, iClassDee reserves the right to terminally or temporarily terminate the dissemination of the said information as iClassDee deems proper. The said termination shall be considered by iClassDee on a case-by-case basis. In this regard, the users who are responsible for the said information shall still be liable for any damage thereof.

This limitation of liability shall be extended to any mistake from the services, articles, transmission, or any other actions of iClassDee, its business partners, co-services providers, or any other internet users.

7.User’s Representation

The User represents that the User will not over compliment or promote any businesses that are related to the User whether by a relationship of family, friend, employment, or any other relationship without prior written permission from iClassDee. In addition, the User represents that any information, messages, pictures, sound, logos, and/or any part of this Application that the User created or posted on the Application are true, and that the User will not post or upload any false information or cause any misunderstanding to others.

If the User violates this representation, iClassDee is entitled to terminate its services, and immediately delete the said information from the system.

8.Indemnification

8.1 The User agrees and accepts to fully cooperate with iClassDee in any proceeding to solve the problems or disputes arising from the violation of contract, tort, or other legal problems. The User shall also hold harmless iClassDee and/or its directors, services provider, employees, or affiliates from any third party’s claim.

8.2 iClassDee is entitled to claim from the User for any actual damage occurring to the Application, iClassDee, or its director, caused by the User. The said actual damage includes but not limited to the cost or expenses for fixing, repairing, remaking, compensating, or any other actions that are necessary to remedy the said damage. The User shall duly pay such damages to iClassDee within the time period specified by iClassDee. If the User fails to pay the said damages within the designated period, iClassDee is entitled to the interest from the principal amount at the rate set forth by law.

However, the User shall be jointly responsible to iClassDee for any damage caused by third parties which cannot occur without the cooperation, assistance, support, or negligence of the User.

9.Privacy Policy

iClassDee shall protect the privacy and personal information of its users in accordance with the “Privacy Policy” of iClassDee. Therefore, please carefully read the Company's Privacy Policy available at “Privacy Policy”. iClassDee shall exercise the utmost care and attention regarding its security measures for the continued security of all User information.

10.Amendment

iClassDee reserves the right to amend, modify, add, or delete any terms and conditions for services of the Application. iClassDee may notify such changes by posting on the Application before making changes on the site.

The User is responsible for constantly examining these Terms and Conditions on this page. By continuously using this Application, the User is deemed to have read, understood, and unconditionally accepted the amended Terms and Conditions. The User may not claim ignorance as an excuse for violation of the amended Terms and Conditions.

11.General Provisions

If any term, provision, covenant or restriction of the Agreement is held by a court, administrative agency or arbitrator to be invalid, void, unenforceable or against its regulatory policy, the remainder of the terms, provisions, covenants and restrictions of the Agreement shall remain in full force and effect and shall in no way be affected, impaired or invalidated.

User shall not assign, license, or transfer any rights of the service to any third party.

Nothing contained herein shall be deemed to create any association, partnership, joint venture or relationship of principal and agent between iClassDee and User.

12.Applicable Law

User and iClassDee agree that any dispute arising from the services provided by iClassDee from this Application shall be governed by and construed under laws of Singapore.

13.General Disclaimers Regarding the Services

13.1 iClassDee only provides a platform for searching for, requesting, posting, listing, offering, proposing, inquiring about, class arranging and calendar scheduling Services by User as part of the Education Services. iClassDee does not play any role relating to the Services itself or the provision or servicing.

13.2 Services offered by User through the iClassDee are independent of the iClassDee and such User are not affiliated with the iClassDee in any respect other than as User who have been permitted to use the Platform in that capacity. iClassDee do not hire or employ User to provide Services. Any arrangement or agreement between User in respect of any Services (tutor service, education service,offline- activity etc.,) is an agreement only between such parties and does not involve the iClassDee in any way, and the iClassDee is not a party to, or a third beneficiary of, such agreement.

13.3 iClassDee are not responsible for disputes, claims, losses, injuries or damage of any kind that might arise out of or relate to any conduct of User either in respect of their use of the iClassDee or in respect of the provision and servicing of any Services. iClassDee are not responsible for any failure of any User to occur due to the failure to meet the other party at the designated location and time. iClassDee are not responsible for the conduct of any Services, for the quality or experience of any Services, or for ensuring that any scheduled Services occurs in a timely manner or at all.

13.4 To the fullest extent permitted by law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that your use of the iClassDee or any Services will be accurate, complete, reliable, current, secure, uninterrupted, always available, or error-free, or will meet your requirements or expectations, that any defects in the iClassDee will be corrected, or that the iClassDee is free of viruses or other harmful components.

13.5 iClassDee disclaim liability for, and no warranty is made with respect to, connectivity and availability of the iClassDee or any Services.We cannot guarantee that each User is who he or she claims to be. Please exert diligence when using iClassDee and any Services, including looking at the photos of the User you have matched with to make sure it is the same individual you see in person. Please note that there are also risks of dealing with underage persons or people acting under false pretense, and we do not accept responsibility or liability for any Content, communication or other use or access of the Platform by persons under the age of 13 in violation of this Agreement.

13.6 We encourage you to communicate directly with each potential User/Services provider to engaging in an arranged Services. Do not go to any place with the User if appears to be a different person than expected. Do not go any place with the User if the User is using or under the influence of drugs or alcohol. If suspected, you should immediately leave to a safe place and report this situation to iClassDee customer service.

13.7 We do not procure insurance for, nor are we responsible for, personal belongings left in any place by User. By using the iClassDee and participating in Services, you agree to accept such risks and agree that iClassDee is not responsible for the acts or omissions of users on the iClassDee.

14.Dispute Resolution Policy

14.1 The User acknowledges that the operation of content, providing services on this Application, is automatically processed by computer or generated by other User, which is beyond the control of directors, executives and any staff of iClassDee. Therefore, it is impossible for iClassDee to verify all contents, reviews, messages, pictures, music, or movies.

14.2 To resolve any disputes that might arise out of this Application, in the event that the User is troubled or damaged by any messages, contents, as well as any infringement of rights or intellectual property rights on the Application, the following dispute resolution policies shall apply:

14.3 The injured party shall clearly notify the claim to iClassDee’s staff in writing. Such claim shall contain the following details:

i. name and address that can be contacted;

ii. phone number or E-mail that can be contacted;

iii. any evidence of the alleged illegal activities (if any);

iv. suggestion, advice, or request on the course of action that the User wishes iClassDee to proceed.

The User shall deliver the said notification to iClassDee by email at support@ iClassDee.com

Upon receiving such notification, iClassDee will contact relevant parties and notify iClassDee’s managing director or its appointed attorney. The dispute shall be resolved within 30 working- days from the date of the receipt of the User’s written notification, provided that such notification shall contain all the information as specified above. In this regard, as iClassDee needs time to verify and investigate the fact regarding the dispute, the User agrees not to take any legal action, whether in civil and/or criminal case against iClassDee during the aforesaid dispute resolution period. In addition, the User also waives and forfeits his/her right to take legal action against iClassDee.
